1. Acceptance of Terms

Welcome to Rent Ops. These Terms of Service (“Terms”) govern your access to and use of the Rent Ops website, applications, and services (collectively, the “Platform”). By creating an account or using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or email, and your continued use constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

• You must provide accurate, current, and complete information during registration and keep your account information up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
• You may not create multiple accounts, impersonate another person, or use a false identity.

4. The Platform

Rent Ops is a marketplace that connects property owners (“Hosts”) with individuals seeking accommodations (“Guests”). The Platform facilitates short-term rentals and long-term lease arrangements.

Rent Ops is not a party to any rental agreement. We provide the technology platform; the contractual relationship for any booking or lease is directly between the Host and Guest. Rent Ops does not own, manage, or control any listed properties.

5. Host Obligations

As a Host on the Platform, you agree to:

• Provide accurate and complete listing information, including property details, photos, pricing, availability, and house rules.
• Maintain your property in a safe, clean, and habitable condition that meets all applicable laws and regulations.
• Obtain all necessary permits, licenses, and insurance required for short-term rentals or long-term leasing in your jurisdiction.
• Comply with all applicable local, state, and federal laws, including tax obligations, zoning regulations, and fair housing laws.
• Honor confirmed bookings unless cancellation is permitted under our cancellation policy.
• Respond to booking inquiries and guest communications in a timely manner.
• Not discriminate against any Guest based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or family status.

6. Guest Obligations

As a Guest on the Platform, you agree to:

• Provide accurate information when making bookings or submitting lease applications.
• Treat the Host's property with care and respect, leaving it in the condition you found it.
• Comply with the Host's house rules, check-in/check-out times, and occupancy limits.
• Not engage in illegal activities, cause excessive noise, or disturb neighbors during your stay.
• Report any property damage or maintenance issues to the Host promptly.
• Not sublease, sub-let, or allow unauthorized occupants without the Host's written consent.

7. Bookings and Payments

• Short-term bookings are confirmed upon payment. Instant Book listings are confirmed automatically; other listings require Host approval.
• Pricing displayed on listings includes the nightly rate. Cleaning fees, service fees, and applicable taxes are shown before booking confirmation.
• Payments are processed through our secure third-party payment provider. Rent Ops holds funds and releases them to the Host after guest check-in.
• For long-term leases, the application process is facilitated through the Platform. Rent payments and deposit terms are agreed upon directly between Host and Tenant.
• All prices are displayed in the currency configured for the listing. Exchange rate risks are borne by the user.

8. Cancellation Policy

Cancellation terms depend on the Host's selected policy:

• Flexible: Full refund if cancelled at least 24 hours before check-in.
• Moderate: Full refund if cancelled at least 5 days before check-in.
• Strict: 50% refund if cancelled at least 7 days before check-in; no refund thereafter.

Service fees may be non-refundable depending on the timing of cancellation. In cases of extenuating circumstances (natural disasters, government-imposed travel restrictions, serious illness), Rent Ops may provide additional flexibility at its discretion.

9. Reviews

• Guests may leave reviews and ratings for properties they have visited. Reviews must be honest, relevant, and based on personal experience.
• Reviews must not contain hate speech, discriminatory language, threats, personal attacks, or spam.
• Rent Ops reserves the right to remove reviews that violate these guidelines but does not routinely edit or censor reviews.
• Hosts may not offer incentives (discounts, gifts, payments) in exchange for positive reviews.

10. Prohibited Activities

You may not use the Platform to:

• Violate any applicable law, regulation, or third-party rights.
• Post false, misleading, or deceptive listing information or reviews.
• Circumvent the Platform's payment system or arrange off-platform transactions to avoid fees.
• Harass, threaten, or intimidate any user of the Platform.
• Upload malware, viruses, or any harmful code.
• Scrape, crawl, or collect data from the Platform without authorization.
• Create fake accounts, listings, or reviews.
• Use the Platform for any purpose other than its intended use as a rental marketplace.

11. Intellectual Property

All content, design, logos, trademarks, and software on the Platform are owned by or licensed to Rent Ops and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

By uploading content (photos, descriptions, reviews) to the Platform, you grant Rent Ops a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Platform.

12. Limitation of Liability

To the maximum extent permitted by law, Rent Ops and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

• Property damage, theft, or personal injury during a stay.
• Inaccurate listing information provided by Hosts.
• Disputes between Hosts and Guests.
• Loss of revenue, data, or business opportunities.
• Service interruptions, errors, or security breaches.

Rent Ops's total liability to you for any claims arising from these Terms or the Platform shall not exceed the amount you paid to Rent Ops in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Rent Ops and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

14. Dispute Resolution

Any dispute arising from these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Class action lawsuits and class-wide arbitration are waived.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall continue to apply.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Rent Ops regarding your use of the Platform and supersede all prior agreements and understandings.
